Terms of Sale

1. Purpose

These terms govern the provision of artificial intelligence, web development and marketing services by Innoventia HUB to its clients ("the Client").

2. Quotes and orders

Every project starts with a written quote describing the scope of work. An order is confirmed once the Client accepts the quote in writing (email is sufficient) and, where applicable, pays the deposit requested.

3. Pricing and payment

Prices are quoted per project and stated in the quote. Payment terms (deposit, milestones, balance) are set out in the quote. Standard payment terms and accepted methods to be completed.

4. Delivery

Delivery timelines are estimates agreed in the quote and depend on the Client providing the content, access and feedback needed in a timely manner.

5. Intellectual property

Unless otherwise agreed in writing, ownership of the deliverables (code, designs, content) transfers to the Client upon full payment. Innoventia HUB retains the right to reuse general know-how and non-confidential components developed during the project.

6. Cancellation

Either party may terminate an ongoing project in writing. Work already carried out remains due. Notice period and any cancellation terms to be completed.

7. Liability

Innoventia HUB's liability is limited to the amount paid for the project concerned. Innoventia HUB cannot be held liable for indirect damages or loss of profit.

8. Applicable law

These terms are governed by the laws of Cameroon. Any dispute will first be discussed amicably, failing which the courts of Yaoundé shall have jurisdiction.
